These Terms of Service ("Terms") govern your use of the Palmier platform, including the Palmier web application, server infrastructure, NATS message broker, and the Palmier host daemon software (collectively, the "Service"), operated by Palmier ("we", "us", or "our").
By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Palmier is a platform for scheduling and executing autonomous AI tasks on your own machines. It consists of:
The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, either express or implied.
Palmier facilitates the execution of third-party AI agent CLIs (such as Claude Code, Gemini CLI, Codex CLI, GitHub Copilot, and others) on your machine. These AI agents can read, create, modify, and delete files, execute shell commands, and make network requests with your user permissions. AI agents may produce unexpected, incorrect, or harmful outputs.
You are solely responsible for all actions taken by AI agents on your system, including any data loss, system damage, or unintended consequences.
Tasks may be configured to run on schedules or in response to events without active supervision. You acknowledge the inherent risks of autonomous execution and accept full responsibility for configuring appropriate safeguards, including but not limited to confirmation requirements, permission restrictions, and regular review of task outputs.
The Service integrates with third-party AI providers (Anthropic, Google, OpenAI, and others). Palmier does not install these services. Your task prompts and execution data may be transmitted to these providers. We have no control over and are not responsible for how third-party services process your data. Your use of third-party AI services is governed by their respective terms and privacy policies.

The Palmier host daemon is open-source software licensed under the Apache License 2.0. The Palmier web application, server infrastructure, and related proprietary components remain the intellectual property of Palmier. "Palmier" is a trademark of Palmier.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY OUTPUT GENERATED BY AI AGENTS THROUGH THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF DATA, LOSS OF PROFITS, BUSINESS INTERRUPTION, SYSTEM DAMAGE, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR TEN US DOLLARS ($10.00), WHICHEVER IS GREATER.
You agree to indemnify and hold harmless Palmier and any contributors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or related to your use of the Service, your violation of these Terms, or any actions taken by AI agents on your behalf.
We do not guarantee any specific uptime or availability of the hosted infrastructure. We may modify, suspend, or discontinue any part of the Service at any time without prior notice. The host daemon runs on your own machine and is not dependent on our infrastructure when used in local or LAN mode.
We may update these Terms from time to time. We will indicate the date of the most recent revision at the top of this page. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Palmier resides, without regard to its conflict of law provisions.
